This Coaching Services Agreement (“Agreement”) is effective as of the date the Client completes enrollment in the Voice of Impact Coaching Program (“Program”) and makes the initial payment. This Agreement is entered into by Delaine A. Deer, operating under ProWorks Hive LLC (“Coach”), and the enrolled client (“Client”).

1. Program Description

The Voice of Impact Coaching Program is a 12-week group coaching experience designed to strengthen leadership voice, communication, and executive presence. The Program includes:

Twelve (12) weekly, live virtual coaching sessions at set dates and times;

Group-based coaching, exercises, and leadership resources;

Guidance from the Coach, along with tools for individual reflection and growth.

2. Program Schedule and Attendance

The Program runs on a fixed weekly schedule. Session times will be communicated in writing before the Program start date.

Sessions will not be rescheduled, recorded, or made up. Missed sessions are considered forfeited, without refund or credit.

Client agrees to attend all sessions live, on time, and with full participation.

3. Fees and Payment Terms

Program Fee: $4,975.00 (USD) – four thousand nine hundred seventy-five dollars and zero cents.

Payment is due in full prior to the Program start date unless a written payment plan is approved by the Coach.

All payments are final. No refunds, transfers, or cancellations will be granted for any reason.

If Client enrolls in a payment plan, they agree to complete all payments as scheduled. Withdrawal from the Program does not cancel the financial obligation.

4. Confidentiality

The Coach agrees to maintain confidentiality for all personal matters shared privately. The Client understands that group coaching sessions are not private and agrees to use discretion when sharing in group settings. The Client further agrees not to record or distribute any part of the Program without written consent from the Coach.

5. Coaching Disclaimer

The Client understands and agrees that:

Coaching is not therapy, medical care, legal advice, or financial consulting;

The Coach is not acting as a licensed healthcare provider or attorney;

Participation in the Program is voluntary, and results are not guaranteed;

The Client is solely responsible for their decisions, actions, and outcomes.

The Client confirms they are mentally and emotionally capable of engaging in the Program and will seek appropriate professional support when needed.

6. Technology and Access

The Client is responsible for securing:

A reliable internet connection;

A working device with camera and microphone;

A private and distraction-free environment for each session.

The Coach is not responsible for technical issues on the Client’s end.

7. Intellectual Property

All materials, concepts, frameworks, and tools shared in the Program are the intellectual property of Delaine A. Deer and ProWorks Hive LLC. The Client agrees not to:

Copy, share, teach, or distribute any Program content;

Reuse Program material for commercial purposes or in the Client’s own services;

Publish any Program content without written permission.

8. Client Conduct and Dismissal

The Client agrees to maintain professionalism, respect, and integrity throughout the Program. The Coach reserves the right to remove any participant from the Program, without refund, for conduct deemed disruptive, disrespectful, unethical, or in violation of this Agreement.

9. Non-Disparagement Clause

The Client agrees not to make, publish, or communicate any false, misleading, or defamatory statements about the Coach, the Program, or ProWorks Hive LLC during or after participation in the Program. This includes but is not limited to public reviews, social media, blogs, or professional platforms. This clause does not prohibit the Client from sharing factual opinions but does prohibit slander, defamation, or intentional harm to the Coach’s reputation.

10. Dispute Resolution and Arbitration

Any disputes, claims, or controversies arising from this Agreement or the Program shall be resolved exclusively by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Prince George’s County, Maryland. Both parties waive the right to a court trial and agree that arbitration shall be the exclusive remedy for any disputes.

11. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. Any disputes not resolved through arbitration shall be subject to the exclusive jurisdiction of the state and federal courts located in Prince George’s County, Maryland, and both parties consent to such venue.

12. Attorney’s Fees

In the event of a dispute resulting in arbitration or legal action, the prevailing party shall be entitled to recover all reasonable attorney’s fees, court costs, and related expenses.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties. It supersedes all prior agreements, communications, or understandings, whether oral or written. No modifications are valid unless made in writing and confirmed by both parties via email or other written form.

14. Acknowledgment

By signing below, Client acknowledges that they have read, understood, and agree to the terms of this Agreement. Client enters into this Agreement voluntarily and with full capacity.

This Agreement becomes effective upon execution by the Client and receipt by the Coach. The Coach’s signature is not required for the Agreement to be valid and enforceable.
